• Reverse engineer, decompile, disassemble, or otherwise attempt to extract or derive Elliottista’s proprietary methodologies, models, algorithms, or technologies
• Access, scrape, automate, index, harvest, or collect data from the Services through automated or manual means without authorization
• Interfere with, disrupt, or attempt to compromise the security, integrity, availability, or performance of the Services or related systems
• Use Elliottista content or the Services to develop, operate, or support competing products or services 

Any violation of this Section may result in immediate suspension or termination of access to the Services, without notice, and may give rise to civil, administrative, or criminal proceedings to the fullest extent permitted by applicable law.

All content, methodologies, analytical frameworks, models, technologies, software, reports, charts, visualizations, branding, trademarks, trade names, logos, and other materials made available through the Services are protected by applicable intellectual property and proprietary rights laws and remain the exclusive property of Elliottista or its licensors.

Subject to your compliance with these Terms, Elliottista grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services solely for your personal, non-commercial use.

Except as expressly permitted in writing by Elliottista, you may not copy, reproduce, modify, adapt, distribute, publish, republish, transmit, display, perform, create derivative works from, or otherwise exploit any portion of the Services or Elliottista content.

While Elliottista endeavors to provide accurate, timely, and well-founded analysis, you acknowledge and agree that:

• Market data, third-party information, and reference materials may be incomplete, delayed, inaccurate, or subject to revision
• All analyses, interpretations, scenarios, and commentary—whether generated by automated systems, artificial intelligence, or human contributors—are inherently subjective, interpretive, and probabilistic in nature
• Elliottista does not warrant or guarantee the accuracy, completeness, timeliness, or reliability of any content made available through the Services
• Continuous, uninterrupted, or error-free availability of the Services is not guaranteed

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by applicable law.

Certain features, content, or portions of the Services may require payment or a paid subscription.

Unless otherwise stated at the time of purchase, subscriptions automatically renew at the end of each applicable billing cycle unless cancelled prior to the renewal date in accordance with the cancellation instructions provided through the Services.

Billing occurs at the beginning of each billing period. You authorize Elliottista and its designated third-party payment processors to charge the applicable fees, taxes, and charges to your selected payment method.

All fees are non-refundable except as expressly stated in an applicable refund policy or as required by law. Pricing, subscription plans, and service features may be modified from time to time with reasonable notice.

If a payment fails or is reversed, Elliottista may suspend or restrict access to the Services until payment is successfully processed.

Payments are processed by independent third-party payment service providers. Elliottista does not store full payment card numbers or complete payment credentials and relies on such providers to maintain payment security in accordance with applicable standards.

Elliottista seeks to provide a fair and reasonable refund framework while safeguarding the integrity of the Services and preventing misuse or abuse.

11.1 Refund Requests

Refund requests must be submitted in writing to support@elliottista.com and must include sufficient information to identify the relevant account, the relevant transaction, and the reason for the request.

11.2 Review and Processing

Upon receipt of a refund request:

• Elliottista will provide an initial response within twenty-four (24) hours
• Approved refund requests are generally processed within three (3) to five (5) business days
• Refunds are issued to the original payment method used for the transaction
• Actual settlement and posting times may vary depending on the payment provider, financial institution, or card issuer

11.3 Non-Refundable Items

 Except where required by applicable law, refunds are not available for: 

• Content that has been accessed, viewed, or otherwise consumed
• Reports, publications, or digital materials that have been downloaded or delivered via email or any other means
• Subscription fees where more than seven (7) calendar days have elapsed since the initial purchase or renewal
• Promotional, trial, discounted, or complimentary access
• Accounts suspended or terminated due to violations of these Terms or applicable policies

Nothing in this Section limits any mandatory consumer rights that may apply under applicable law.

To the maximum extent permitted by applicable law, Elliottista, its officers, directors, employees, contractors, agents, affiliates, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including, without limitation, financial or investment losses, lost profits or revenue, loss of business opportunities, data loss or corruption, system downtime, or business interruption, arising out of or related to your access to or use of the Services.

To the extent that liability cannot be excluded under applicable law, Elliottista’s total aggregate liability for all claims arising out of or relating to the Services shall not exceed the lesser of: 

• the total amounts actually paid by you to Elliottista in the twelve (12) months immediately preceding the event giving rise to the claim;
• or the price of the least expensive paid service or product offered by Elliottista at the time Elliottista is notified of the claim. 

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

You agree to indemnify, defend, and hold harmless Elliottista, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable legal and attorneys’ fees) arising out of or relating to: 

• your access to or use of the Services; 
• any investment, trading, or financial decisions made by you based on or in connection with the Services or any content provided by Elliottista;
• your violation of these Terms, any applicable policies, or any applicable laws or regulations;
• or your infringement or alleged infringement of any third-party rights, including intellectual property, privacy, or contractual rights.

This indemnification obligation survives termination or expiration of these Terms and your use of the Services.

You are solely responsible for determining and complying with all applicable financial, securities, commodities, digital asset, tax, reporting, disclosure, and regulatory requirements in your jurisdiction.

Nothing in these Terms or in the Services shall be construed as regulatory approval, authorization, licensing, or endorsement by any governmental or supervisory authority. Elliottista does not represent that the Services are appropriate, lawful, or compliant for use in all jurisdictions.

Access to or use of the Services may be restricted or prohibited in certain jurisdictions. You are responsible for ensuring that your use of the Services complies with all applicable laws, rules, and regulations.

Elliottista shall not be liable for any delay in performance or failure to perform any obligation under these Terms where such delay or failure results from events or circumstances beyond its reasonable control. Such events include, without limitation, acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, governmental or regulatory actions, market closures, power or telecommunications failures, internet or infrastructure outages, cyber incidents, or failures of third-party service providers.

During the occurrence of any such force majeure event, Elliottista’s obligations shall be suspended for the duration of the event to the extent affected.

You may discontinue use of the Services at any time, subject to any outstanding payment obligations or subscription terms.

Elliottista reserves the right, at its sole discretion, to suspend or terminate your access to all or part of the Services immediately and without prior notice where you violate these Terms, applicable laws or regulations, or where continued access may expose Elliottista to legal, regulatory, or operational risk.

Upon termination, your right to access and use the Services shall immediately cease. Any subscriptions, licenses, or access rights may be permanently revoked without refund, except where required by applicable law. Provisions which by their nature should survive termination, including but not limited to disclaimers, limitation of liability, indemnification, and governing law, shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction expressly identified on the Elliottista platform, without regard to its conflict-of-law principles.

Any dispute, claim, or controversy arising out of or in connection with these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction. You irrevocably submit to such jurisdiction and waive any objection based on venue, forum non conveniens, or similar grounds, to the extent permitted by applicable law.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a competent court or authority, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

These Terms, together with Elliottista’s Privacy Policy and any additional policies or notices expressly incorporated by reference, constitute the entire agreement between you and Elliottista with respect to your access to and use of the Services and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral.

Beta or Experimental Features: Certain features, tools, or content made available through the Services may be designated as “beta,” experimental, or early-stage offerings. Such features may be modified, suspended, or discontinued at any time and may not operate as intended or without interruption.

Third-Party Tools and Integrations: The Services may include or rely upon third-party platforms, data providers, payment processors, or integrations. Elliottista does not control and is not responsible for the availability, accuracy, performance, or reliability of such third-party services, nor for any losses or damages arising from their use.

Tax Responsibility: You are solely responsible for determining and complying with any tax obligations, reporting requirements, or liabilities arising from your investment activities or use of the Services, in accordance with applicable laws in your jurisdiction.
